Terms of Service

These terms govern the use of CAREZENIX, a clinic and hospital management application operated by Vikalp Development Private Limited. By signing in or by using any part of the service, you agree to them. If you are accepting them for a clinic, you confirm you are authorised to bind that clinic.

1. What the service is, and what it is not

CAREZENIX is record-keeping and administration software. It stores appointments, prescriptions, invoices and patient records that clinic staff enter, and it delivers messages the clinic asks it to send.

It does not practise medicine. It does not diagnose, does not prescribe, and does not verify that anything a doctor enters is clinically correct. Every clinical decision, and the accuracy of every clinical record, remains the responsibility of the registered medical practitioner who made it. Nothing shown in this software is medical advice, and no patient should treat it as a substitute for consulting their doctor.

In an emergency, contact emergency services or go to a hospital. Do not use this software to seek urgent help.

2. Who may use it

• Clinics, hospitals and registered medical practitioners, and the staff they authorise.
• Patients of those clinics, for their own records and appointments.

You must be 18 or older to hold an account. A parent or guardian may hold an account on behalf of a minor and is responsible for its use. A doctor using the service must hold and maintain a valid registration with the relevant medical council; we do not verify registrations and do not represent that any listed practitioner is registered.

3. Accounts and sign-in

Sign-in uses a one-time password sent to your registered mobile number. You are responsible for keeping that number and device secure and for everything done under your account. Do not share your one-time password with anyone, including anyone claiming to be from CAREZENIX or from your clinic — we will never ask you for it. Tell your clinic immediately if you believe your account has been used without your permission.

4. What you may not do

• Access records of patients you are not authorised to see, or share another user's credentials.
• Enter information you know to be false, or alter a clinical record to misrepresent what happened.
• Use the messaging features to send marketing, bulk or unsolicited messages, or anything that breaches WhatsApp's or the SMS provider's own policies.
• Attempt to breach, scan, overload or reverse-engineer the service, or bypass its access controls.
• Upload malware, or use the service for anything unlawful.

Misuse of the messaging features can get the clinic's WhatsApp sender restricted or banned by Meta. That consequence sits with the clinic, not with us.

5. Who owns the data

The clinic owns the patient records, appointments, prescriptions and invoices it creates. We claim no ownership over them and use them only to run the service and as described in our Privacy Policy. On termination, a clinic may request an export of its data, subject to the retention periods in that policy.

The software itself, its design, and its name and logo remain the property of Vikalp Development Private Limited. A clinic using a white-labelled version is licensed to present the product under its own brand for the duration of its subscription; that licence does not transfer any ownership of the underlying software.

6. Fees, plans and limits

Paid plans are billed in advance for the period stated at the time of purchase. Plans may cap usage — the number of doctors, messages or enabled modules — and the service enforces those caps. Fees are exclusive of applicable taxes unless stated otherwise, and are non-refundable except where the law requires a refund. We may change prices with reasonable notice before a renewal.

Where an account is suspended for non-payment, records are retained and access is restored on payment; they are not deleted for non-payment alone.

7. Availability

We work to keep the service available, but we do not guarantee uninterrupted access. Maintenance, third-party outages (hosting, messaging providers, payment gateways) and events outside our control can interrupt it. Because of this, a clinic should not rely on this software as its only means of contacting patients in an emergency.

8. Third-party services

The service delivers messages and payments through third parties, including Meta Platforms for WhatsApp, an SMS gateway, and a payment gateway. Their own terms apply to those services. We are not responsible for a message a provider fails to deliver, or for a payment a gateway declines.

9. Limits on liability

The service is provided on an "as is" basis. To the extent permitted by law, neither we nor our suppliers are liable for indirect or consequential loss, loss of profit or goodwill, or for loss arising from a clinical decision made by a practitioner. Our total liability in any twelve-month period is limited to the fees paid for the service in that period.

Nothing in these terms limits liability for fraud, for wilful misconduct, or for anything that cannot lawfully be limited.

10. Suspension and termination

A clinic may stop using the service at any time; fees already paid for the current period are not refunded. We may suspend or terminate access where these terms are breached, where use endangers the service or other users, or where fees remain unpaid after notice. We will give reasonable notice and an opportunity to export data unless an immediate suspension is needed to prevent harm.

11. Changes to these terms

We may update these terms. The "last updated" date above changes with them, and material changes are notified to clinics before they take effect. Continuing to use the service after that means you accept the updated terms.

12. Governing law

These terms are governed by the laws of India, and the courts at New Delhi, India have exclusive jurisdiction over any dispute arising from them.
